Terms and Conditions

1. Acceptance of Terms

By downloading, installing, accessing, or using the GoodStudy Android application or associated website ("Platform"), you agree to be legally bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms in their entirety, you must immediately uninstall the app and discontinue use of the Platform.

The Platform is operated by VISIONSOFT INFOTECH PRIVATE LIMITED ("Company," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the Platform after notice of changes constitutes your acceptance of the revised Terms.

2. Eligibility and Account

2.1 Age Requirement

You must be at least 13 years of age to use the Platform. Users between 13 and 18 must have the consent of a parent or legal guardian, who accepts these Terms on their behalf and takes responsibility for their use.

2.2 Account Registration and Security

Registration requires a valid Indian mobile phone number. You will receive a one-time password (OTP) to verify your number. You are solely responsible for all activity that occurs under your account. You agree not to share your OTP, session token, or account access with any other person under any circumstances.

The Company shall not be liable for any loss, unauthorised access, data breach, or damage arising from your failure to keep your device, OTP, or account credentials secure. If you suspect unauthorised access to your account, you must notify us immediately at hello@goodstudy.in. We are not responsible for any actions taken by a third party using your account before you report the unauthorised access to us.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update it promptly if it changes. We may suspend or terminate accounts where information is found to be false, misleading, or incomplete.

2.4 One Account Per User

Each user may maintain only one active account. Creating multiple accounts to circumvent subscription limits, suspensions, or other restrictions is prohibited and will result in termination of all associated accounts.

2.5 Account Termination

We reserve the right to suspend or permanently terminate your account, with or without prior notice, if you violate these Terms, engage in fraudulent activity, or take actions that harm other users or the Platform.

3. Subscription Plans and Pricing

3.1 Available Plans

GoodStudy currently offers the following subscription plans:

• Monthly Plan: ₹299 per month
• 6-Month Plan: ₹549 for 6 months
• Annual Plan: ₹799 for 12 months

All prices are inclusive of applicable taxes. Prices are subject to change with 30 days' prior notice.

3.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing period at the then-current price unless you cancel before the renewal date. For plans set up with UPI AutoPay (UPI Mandate via Paytm), your bank account or UPI-linked account will be debited automatically on the renewal date. You can cancel your UPI AutoPay mandate at any time through the app or directly through your bank or UPI app.

3.3 Payment Methods

We accept payments through Paytm (for subscriptions and one-time payments) and Cashfree (for AI credit purchases). All transactions are processed securely by our payment partners. We do not store your payment instrument details (card numbers, UPI credentials, or bank account information) on our servers.

3.4 AI Credits

AI tutoring features operate on a credit-based system. AI credits are purchased separately and are non-refundable once consumed. Unused AI credits may expire; expiry terms will be communicated at the time of purchase. AI credits are tied to your account and cannot be transferred.

3.5 Refund Policy

All subscription fees and AI credit purchases are non-refundable except where required by applicable law or in cases of duplicate charges caused by a technical error on our part. Refund requests for technical errors must be submitted within 7 days of the transaction to hello@goodstudy.in with proof of the duplicate charge. We do not offer refunds for change of mind, inability to use the Platform due to device incompatibility, or dissatisfaction with content.

3.6 Price Changes

We may change subscription prices with 30 days' advance notice via email or in-app notification. Price changes will not affect the current billing period of an active subscription; they apply from the next renewal date.

3.7 Price Display Errors

In the event of a pricing error, typographical mistake, or technical glitch that causes an incorrect price to be displayed on the Platform, the Company is not bound to honour that incorrect price. We reserve the right to cancel any order or subscription initiated at an erroneously displayed price and will provide a full refund of any amount charged. We will notify you of such an error before processing or immediately after detection.

3.8 Promotional Offers and Discount Codes

From time to time, the Company may offer promotional discounts, coupon codes, or referral bonuses ("Offers"). All Offers are subject to the following conditions:

• Offers are valid only for the period and conditions specified at the time of issue
• Offers may not be combined with other discounts unless explicitly stated
• Offers are non-transferable, non-exchangeable, and have no cash value
• Each user may redeem a specific Offer only the number of times stated; multiple account creation to claim the same Offer repeatedly is prohibited
• The Company reserves the right to withdraw, modify, or expire any Offer at any time without prior notice
• Any Offer obtained through fraudulent means will be voided and the associated account may be terminated

4. Content and Intellectual Property

4.1 Ownership

All content on the Platform — including video lectures, audio, reels, quizzes, mock tests, mind maps, PDFs, graphics, text, and software — is owned by or licensed to the Company. All rights are reserved. GoodStudy, the GoodStudy logo, and all related marks are trademarks of VISIONSOFT INFOTECH PRIVATE LIMITED.

4.2 Limited Licence to Users

Subject to your active subscription and compliance with these Terms, you are granted a limited, personal, non-exclusive, non-transferable, revocable licence to access and use Platform content solely for your own personal, non-commercial educational purposes.

4.3 Restrictions

You may not:

• Record, download, screenshot, or capture any video, audio, or quiz content from the Platform
• Reproduce, redistribute, publicly display, broadcast, or create derivative works from any Platform content
• Share your account credentials or subscription access with any other person
• Use Platform content for commercial purposes, including tutoring, coaching, or resale
• Attempt to circumvent DRM, access controls, or content protection mechanisms
• Reverse engineer, decompile, or disassemble any part of the Platform software
• Use screen recording software, mirroring applications, emulators, or any third-party capture tool to record, copy, or redistribute any Platform content
• Broadcast, livestream, or publicly display any Platform content on any channel, platform, or medium

Content is delivered via encrypted HLS streaming and is accessible only with a valid authenticated session token. Any attempt to intercept, decrypt, capture, or download streamed content is a material breach of these Terms, constitutes infringement of our intellectual property rights, and may result in immediate account termination, civil damages, and criminal prosecution under the Copyright Act, 1957 and the Information Technology Act, 2000.

4.4 User-Generated Content

You retain ownership of any content you submit (e.g., feedback, support messages, chat attachments). By submitting content, you grant the Company a worldwide, royalty-free, perpetual licence to use, reproduce, and display it solely for the purposes of operating and improving the Platform. You represent that you have all necessary rights to submit such content and that it does not infringe any third-party rights.

5. Platform Features and Availability

5.1 Streaming Only

All video lectures, reels, and audio content are delivered via live streaming. The Platform does not currently support offline downloads. Access to content requires an active internet connection.

5.2 AI Tutor — Nature of the Service

The GoodStudy AI tutor is an automated, credit-based educational assistance feature powered by AI language models. Responses are generated algorithmically without human review at the time of delivery. By using the AI tutor, you acknowledge and accept all terms in this Section 5.2.

5.3 AI Output Disclaimer

AI-generated responses may contain errors, inaccuracies, hallucinations, outdated information, or incomplete answers. The Company makes no warranty, express or implied, regarding the accuracy, completeness, reliability, or suitability of any AI output for any purpose.

AI tutor responses do not constitute professional academic advice, medical advice, legal advice, financial advice, or any other form of professional guidance. You must independently verify all AI-generated information against authoritative sources — including textbooks, qualified teachers, and official exam materials — before relying on it for study, exams, or any other decision.

5.4 No Liability for AI Outputs

The Company shall not be liable for any loss, damage, harm, or adverse outcome — including but not limited to poor exam performance, academic failure, or any decision made — arising from your reliance on AI-generated content. You use the AI tutor entirely at your own risk.

5.5 Permitted Use of AI Feature

You may use the AI tutor only for lawful, personal educational purposes. Specifically, you may:

• Ask subject-related academic questions for your own learning
• Request explanations, summaries, or practice questions on educational topics
• Use AI responses as a supplementary study aid alongside other learning materials

5.6 Prohibited Use of AI Feature

You must not use the AI tutor to:

• Generate content for submission as your own original academic work (plagiarism or academic fraud)
• Produce harmful, offensive, defamatory, illegal, or sexually explicit content
• Attempt to manipulate, jailbreak, or circumvent the AI model's safety guidelines
• Extract, reproduce, or compile AI outputs for commercial resale or redistribution
• Automate or script queries to systematically drain credits or overload the service
• Obtain advice that substitutes for professional medical, legal, psychological, or financial counsel
• Harass or generate targeted harmful content about any individual or group

Violations of this section may result in immediate suspension of AI access, account termination, forfeiture of remaining AI credits without refund, and potential legal action.

5.7 AI Credits — Usage and Expiry

Access to the AI tutor consumes credits purchased separately through the Platform. Credits are non-refundable once consumed. Unused credits are subject to expiry terms communicated at the time of purchase. Credits are personal to your account and cannot be gifted, transferred, or shared. The Company reserves the right to adjust credit consumption rates with reasonable notice.

5.8 AI Service Modifications

The Company reserves the right to modify, limit, suspend, or discontinue the AI tutor feature at any time. If the AI feature is permanently discontinued, unused AI credits will be refunded on a pro-rata basis. Temporary unavailability due to maintenance or technical issues does not entitle you to a refund.

5.9 Content Moderation

We reserve the right to monitor AI interactions in anonymised form, block prompts that violate our usage policies, and take action on accounts that repeatedly attempt to misuse the AI feature. You agree to cooperate with any investigation into suspected misuse of AI functionality.

5.10 Leaderboard Integrity

The GoodStudy leaderboard ranks users based on quiz scores and learning activity. The following are strictly prohibited:

• Using automated tools, bots, or scripts to artificially inflate scores
• Coordinating with others to manipulate rankings
• Exploiting bugs or glitches to gain unfair leaderboard advantages

The Company reserves the right to investigate suspicious ranking activity, reset or remove scores it determines to be fraudulent, and suspend or permanently ban accounts found to have manipulated the leaderboard. Leaderboard standings are provided for motivational purposes only and carry no monetary value or guarantee of any reward unless explicitly stated in a separately published offer.

5.11 Device and Internet Compatibility

The GoodStudy app is designed for Android devices running Android 7.0 (Nougat) or above. The Company does not guarantee that the app will function correctly on all devices, operating system versions, custom ROMs, rooted devices, or emulators. The Company is not responsible for:

• Poor video quality, buffering, or content unavailability due to slow or unstable internet connections
• App crashes, errors, or feature unavailability on unsupported or modified devices
• Data charges incurred by you while using the Platform on a mobile network
• Any degraded experience resulting from your device's hardware limitations

Device incompatibility or poor internet connectivity does not entitle you to a refund or subscription credit.

5.12 Push Notifications

With your permission (required on Android 13+), we send push notifications for study reminders, platform updates, and promotional messages. You may disable notifications at any time through your device settings without affecting core Platform functionality.

5.13 Promotional Communications

By registering on the Platform and providing your mobile phone number and email address, you expressly consent to receive promotional, marketing, and transactional communications from the Company on your registered mobile number and email address. These may be sent via SMS/text message, WhatsApp message, email, voice call, push notification, and in-app message, and may include information about new courses, features, subscription offers, discounts, referral programs, reminders, and other promotional content.

You agree that such communications, being sent with your consent, will not be treated as unsolicited communications or "spam". You may opt out of promotional communications at any time by following the unsubscribe instructions in the relevant message or by writing to hello@goodstudy.in. Even after opting out, we may continue to send essential service-related communications (such as OTPs, payment receipts, security alerts, and account notices). This clause should be read together with the Promotional and Marketing Communications section of our Privacy Policy.

5.14 Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access. The Platform may be unavailable due to maintenance, technical issues, or circumstances beyond our control. Planned maintenance will be communicated in advance where possible.

6. Content Accuracy and Safety Disclaimer

6.1 Educational Content — No Accuracy Guarantee

All educational content on the Platform — including video lectures, notes, PDFs, mind maps, quizzes, mock tests, reels, and AI-generated responses — is provided for general informational and educational purposes only. While we make reasonable efforts to ensure the accuracy of content, we do not warrant or guarantee that any content is:

• Accurate, correct, or free from errors or omissions
• Up to date with the latest syllabus, curriculum, or exam pattern
• Complete or comprehensive for any particular examination or academic purpose
• Suitable or sufficient to guarantee success in any exam or course

6.2 No Liability for Content Errors

The Company shall not be held liable for any loss, damage, academic setback, exam failure, or adverse outcome of any kind arising from:

• Errors, inaccuracies, or omissions in any educational content
• Outdated information that no longer reflects the current syllabus or exam pattern
• Incorrect facts, figures, formulas, dates, or explanations in any content
• Any decision made by a user in reliance on Platform content
• Discrepancies between Platform content and official textbooks, answer keys, or board materials

You acknowledge that educational content is inherently subject to change, interpretation, and error, and that the Company is not a substitute for qualified teachers, official study materials, or accredited educational institutions.

6.3 User Responsibility to Verify

You are solely responsible for independently verifying any information, fact, formula, answer, or explanation obtained through the Platform — including AI-generated content — against authoritative and official sources such as NCERT textbooks, official exam board materials, and qualified educators before relying on it for any academic, professional, or personal purpose.

6.4 Third-Party and Instructor Content

Some content on the Platform may be created by third-party educators, instructors, or contributors. The Company does not independently verify every statement made in such content and is not responsible for the accuracy, opinions, or views expressed therein. Such content represents the views of the individual creator and not the official position of the Company.

6.5 Syllabus and Exam Pattern Changes

Examination boards and educational authorities may revise syllabi, exam patterns, or marking schemes at any time without prior notice to the Company. The Company is not responsible for delays in updating content to reflect such changes. Users are advised to always cross-check with official notifications from the relevant exam authority.

6.6 No Professional or Academic Endorsement

Use of the GoodStudy Platform does not constitute enrolment in any recognised school, college, or educational institution. The Company does not issue any certificates, degrees, or academic credentials. Nothing on the Platform constitutes professional tutoring, coaching, medical, legal, financial, or psychological advice.

7. Prohibited Activities

You agree not to use the Platform to:

• Violate any applicable local, national, or international law or regulation
• Harass, threaten, defame, or harm other users or Company personnel
• Impersonate any person or entity
• Gain or attempt to gain unauthorised access to any part of the Platform or its backend systems
• Introduce viruses, malware, spyware, or any other harmful code
• Use automated bots, scrapers, crawlers, or similar tools to access the Platform
• Engage in academic dishonesty, including sharing quiz answers for commercial gain
• Send unsolicited communications (spam) to other users
• Conduct or facilitate fraudulent transactions
• Exploit or attempt to exploit any bug or vulnerability in the Platform
• Attempt to jailbreak, manipulate, or circumvent safety filters in the AI tutor
• Use AI-generated content to commit academic fraud or submit plagiarised work

Violations may result in immediate account suspension or termination and may be reported to appropriate law enforcement authorities.

8. Disclaimer of Warranties

The Platform and all content are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.

We do not warrant that the Platform will be error-free, secure, uninterrupted, or free of viruses. Educational outcomes, including exam results, depend on individual effort and external factors entirely beyond our control. GoodStudy does not guarantee any specific learning outcome, score improvement, or exam success.

9. Limitation of Liability

To the maximum extent permitted by applicable law, VISIONSOFT INFOTECH PRIVATE LIMITED, its directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of data, loss of profits, loss of goodwill, or interruption of service — arising from or in connection with your use of or inability to use the Platform.

Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the total subscription fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and licensors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use or misuse of the Platform; (b) your violation of these Terms; (c) your infringement of any third-party rights; or (d) any content you submit to the Platform.

11. Suspension and Termination

11.1 By Us

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, particularly in cases of Terms violations, suspected fraud, or harmful conduct. Upon termination for cause, no refund of subscription fees will be provided.

11.2 By You

You may delete your account at any time through the Platform's account settings. Deleting your account cancels your subscription from the next billing cycle but does not entitle you to a refund for any unused period of the current subscription. Account deletion is irreversible and all your data will be erased per our Privacy Policy retention schedule.

11.3 Effect of Termination

Upon termination, your licence to access Platform content immediately ceases. Provisions of these Terms that by their nature should survive termination (including intellectual property rights, disclaimers, limitation of liability, indemnification, and dispute resolution) shall survive.

11.4 Dormant Accounts

An account is considered dormant if there has been no login or activity for a continuous period of 12 months. For dormant accounts:

• We will send a notice to your registered email address 30 days before taking any action
• Any active subscription will not auto-renew after the dormancy period
• Unused AI credits associated with a dormant account will expire
• We reserve the right to delete dormant accounts and associated data after 24 months of inactivity, subject to any legal retention obligations

Reactivating your account before deletion by simply logging in will restore full access and pause the dormancy process.

12. Privacy and Data Protection

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy. We comply with the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000.

13. Third-Party Services

The Platform integrates with third-party services including Paytm, Cashfree, Google Firebase, and Meta (Facebook). Your use of these services within the Platform is subject to their respective terms and privacy policies. We are not responsible for the practices, availability, or content of any third-party service.

The GoodStudy app is distributed through the Google Play Store. Your download and installation of the app is additionally governed by Google Play's Terms of Service. In the event of any conflict between these Terms and Google Play's policies regarding app distribution, Google Play's policies shall take precedence solely with respect to the distribution and installation of the app. All other matters are governed exclusively by these Terms.

14. Governing Law and Jurisdiction

These Terms are governed by and construed exclusively in accordance with the laws of the Republic of India. The courts and tribunals of Jaipur, Rajasthan, India shall have sole and exclusive jurisdiction over any dispute, claim, or matter arising out of or in connection with these Terms or your use of the Platform, regardless of where you are located or from where you access the Platform.

By using the Platform, you irrevocably:

• Submit to the exclusive jurisdiction of courts located in Jaipur, Rajasthan, India
• Waive any objection to proceedings in such courts on the grounds of inconvenient forum or any other ground
• Agree that a judgment or order of a Jaipur court shall be conclusive and binding

These Terms shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods. Any conflict-of-law provisions that would require the application of another jurisdiction's law are expressly excluded.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact us at hello@goodstudy.in and attempt to resolve the dispute informally. We will make reasonable efforts to resolve your complaint within 30 days.

15.2 Arbitration

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms shall be finally settled by binding arbitration conducted in Jaipur, Rajasthan in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted in English. The arbitrator's award shall be final and binding on both parties.

15.3 No Class Actions

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed. The remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company with respect to the Platform and supersede all prior or contemporaneous communications, representations, and agreements, whether oral or written, relating to the subject matter herein.

18. Force Majeure

The Company shall not be liable for any delay, interruption, or failure to perform its obligations under these Terms where such failure arises from causes beyond its reasonable control, including but not limited to:

• Natural disasters, floods, earthquakes, or other acts of God
• War, terrorism, riots, civil unrest, or government actions
• Internet or telecommunications infrastructure failures not within our control
• Cloud provider or data centre outages
• Pandemics, epidemics, or public health emergencies
• Power failures or widespread network disruptions
• Legal orders, injunctions, or regulatory restrictions

During a force majeure event, our obligations are suspended for the duration of the event. We will use reasonable efforts to notify users of any extended service disruption and to restore service as quickly as practicable. Subscription periods affected by a prolonged force majeure event of more than 7 consecutive days may be extended at our discretion.

19. Waiver

No failure or delay by the Company in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right shall preclude any further exercise of that right or any other right. A waiver of any provision of these Terms will be effective only if given in writing and signed by an authorised representative of the Company, and such waiver shall not be construed as a waiver of any subsequent breach of the same or any other provision.

20. Assignment

You may not assign, transfer, sublicense, or delegate any of your rights or obligations under these Terms without the prior written consent of the Company.

The Company may freely assign or transfer these Terms, or any of its rights or obligations hereunder, to any affiliate, successor entity, or acquirer in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets, without your prior consent. In such an event, you will be notified and the Terms will continue to bind you with respect to the successor entity.

21. Notices

All legal notices, requests, or communications required or permitted under these Terms shall be in writing and delivered by one of the following methods:

• To You: Via the email address registered on your account, or via in-app notification. Notice is deemed received at the time of sending, provided no delivery failure notification is received.
• To Us: Via email to hello@goodstudy.in or by post to our registered address. Email notice is deemed received when acknowledged by us in writing.

It is your responsibility to keep your registered email address current. The Company is not liable for any missed notice resulting from an outdated or incorrect email address on your account.

For any questions, concerns, or notices under these Terms:
